Who can use Memo
You can use Memo if you are at least 16 years old and capable of forming a binding contract under the laws of your jurisdiction. If you’re using Memo on behalf of an organization, you represent that you have authority to bind that organization to these Terms — and “you” in these Terms means both you and the organization. You are responsible for keeping your account credentials secure and for all activity that happens under your account.What Memo is
Memo is a creative platform for capturing inspiration, organizing references, and generating images and videos with AI assistance. The Service includes:- The web application at memo.solutions and app.memo.solutions
- The Memo — Inspiration Board Capture browser extension
- Any APIs, documentation, and supporting services we publish
Your content
You keep ownership of the content you upload, save, or paste into Memo, and of the prompts you write (“Your Content”). You also keep ownership of the images, videos, and other outputs Memo’s AI generates from your prompts (“Generated Content”), to the maximum extent ownership of AI outputs is recognised under applicable law. You grant Memo a worldwide, non-exclusive, royalty-free licence to host, store, transmit, process, and display Your Content and Generated Content solely as needed to operate the Service for you and your collaborators — including running it through third-party processors (Supabase, Vercel, model providers) on our behalf. This licence ends when you delete the content or your account, except where we are legally required to retain it. You are responsible for making sure you have the rights to upload and use Your Content, and for the choices you make about what to generate. You must not upload or generate content that:- Infringes someone else’s copyright, trademark, or other intellectual property
- Depicts a real person without their consent in a way that’s defamatory, sexual, or misleading
- Is illegal where you live or where the Service is operated
- Violates the Acceptable use rules below
Acceptable use
You agree not to:- Use the Service to generate sexual content involving minors, content that promotes terrorism or mass violence, or other content prohibited by our model providers’ policies
- Attempt to bypass safety filters, rate limits, credit metering, or access controls
- Reverse-engineer, decompile, or scrape the Service except as expressly permitted by law
- Use the Service to build a competing AI image or video generation product
- Resell, sublicence, or share workspace access in a way designed to circumvent seat or plan limits
- Upload malware, run automated load against our infrastructure, or interfere with another customer’s use of the Service
Generated content and AI limitations
Memo uses third-party AI models for image and video generation, image analysis, and chat. These models can produce content that is inaccurate, offensive, biased, or that resembles existing works. You are responsible for reviewing Generated Content before publishing or using it externally. We do not guarantee that Generated Content is unique, free of similarity to other works, or suitable for any specific purpose. Run your own brand, legal, and IP checks before commercial use.Plans, credits, and billing
Memo offers free and paid plans. Paid plans are billed through Stripe.- Credits — paid features (image and video generation, analysis, agent chat) are metered in credits. Each plan includes a monthly credit allocation; additional credits can be purchased as top-ups.
- Billing cycle — subscriptions renew automatically at the end of each billing period until cancelled.
- Cancellation — cancel your subscription at any time from Workspace Settings → Billing. Cancellation takes effect at the end of your current billing period; you keep access until then.
- Refunds — credit purchases and subscription fees are non-refundable except where required by applicable consumer law. If you believe you were charged in error, email us at billing@memo.solutions and we’ll investigate in good faith.
- Failed payments — if a payment fails, we may suspend paid features until the balance is settled. We’ll send notice before any suspension.
- Price changes — we may change prices for new billing periods with at least 30 days’ notice to your registered email address.
Workspaces and roles
Memo is built around workspaces. The workspace owner controls billing and can invite, promote, demote, and remove members. Other roles (admin, editor, viewer) have progressively narrower permissions, described in Members & Roles. If you’re an owner, you are the billing party for that workspace. If you delete a workspace, the data inside it (inspirations, generations, brand kits, projects, chat history) is permanently removed.Browser extension
The Memo browser extension is provided under these Terms as part of the Service. Installing or using the extension constitutes acceptance. The extension only reads page content you explicitly capture; see the Privacy Policy for the full data practices.Changes to the Service
We may update, modify, or discontinue features of the Service. For paid features that are materially changed or removed, we’ll give reasonable notice and, where appropriate, prorated credit for the remainder of the affected billing period.Termination
You can stop using Memo and delete your account at any time. We may suspend or terminate your access if:- You materially breach these Terms
- We’re required to do so by law
- Continuing to provide the Service to you would expose Memo or another user to serious risk
Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, express or implied. To the fullest extent permitted by law, Memo disclaims all warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not warrant that Generated Content is accurate, original, non-infringing, or suitable for your use case. We do not warrant that the Service will be available without interruption.Limitation of liability
To the fullest extent permitted by law:- Memo’s total liability for any claim arising out of or related to the Service is limited to the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or USD 100, whichever is greater.
- Memo is not liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, lost data, or business interruption — even if we’ve been advised of the possibility.
Indemnification
You agree to defend, indemnify, and hold harmless Memo and its officers, employees, and agents from any third-party claim arising out of (a) your use of the Service in violation of these Terms, (b) Your Content or Generated Content you publish externally, or (c) your violation of any law or third-party right.Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of laws principles. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there. If you live in a jurisdiction that grants you mandatory consumer-protection rights, nothing in this section overrides those rights.Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated via email to your registered account, and a notice will appear in the app on your next sign-in. The “Last updated” date at the top of this page is always current. Continuing to use the Service after a change takes effect means you accept the updated Terms.Contact
